Terms of Service

These Terms of Service ("Terms") govern your access to and use of ShepherdCount ("we," "our," or "us"), including the website at shepherdcount.com and the ShepherdCount application (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Eligibility

You must be at least 13 years old to use the Service. By agreeing to these Terms, you represent that you are at least 13 years of age. If you are using the Service on behalf of a church or other organization, you represent that you have authority to bind that organization to these Terms.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@shepherdcount.com if you suspect unauthorized access to your account.

You may not share your account with others or create accounts by automated means. We reserve the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law
  • Upload or transmit content that is defamatory, obscene, or otherwise objectionable
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Interfere with or disrupt the integrity or performance of the Service
  • Scrape, copy, or redistribute Service content without our prior written consent
  • Use the Service to send unsolicited communications (spam)

4. Your Data

You retain ownership of all data you enter into the Service on behalf of your church ("Church Data"), including member records, attendance, and meeting minutes. You grant us a limited license to store, process, and display that data solely to provide the Service to you.

You are responsible for ensuring that you have the right to upload and store any personal information about church members, and that doing so complies with applicable privacy laws.

5. Subscription and Billing

Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as expressly stated in a separate agreement.

We may change subscription fees with 30 days' notice. Continued use of the Service after the price change takes effect constitutes acceptance of the new fees.

6. Free Tier

We offer a free tier with limited features. We reserve the right to modify or discontinue the free tier at any time with reasonable notice to affected users.

7. Intellectual Property

The Service, including its design, logos, and software, is owned by ShepherdCount and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or other brand elements.

8. Third-Party Services

The Service integrates with third-party providers including Supabase (database), Stripe (payments), Resend (email), and Meta (Facebook Login). Your use of those integrations is also subject to those providers' terms and policies. We are not responsible for the practices of third-party services.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEPHERDCOUNT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold ShepherdCount harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your Church Data, or your violation of these Terms.

12. Termination

You may cancel your account at any time from your account settings. We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice, except in cases of serious or repeated violations where immediate termination may be necessary.

Upon termination, your right to use the Service ceases immediately. We will retain your Church Data for up to 90 days following termination, during which you may request an export. After that period, data will be permanently deleted.

13. Changes to These Terms

We may update these Terms from time to time. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
